This document constitutes a legally binding agreement between you ("Client" or "User") and Indiam Tech governing access to and use of our website and embedded product development services. Please read these Terms carefully before engaging our services.
01 Definitions
"Indiam Tech" refers to our company, its employees, partners, and subcontractors
"Services" refers to embedded firmware development, hardware design, PCB design, 3D prototyping, IoT solutions, and any related consulting
"Client" refers to any individual or organization engaging Indiam Tech for services
"Deliverables" means any output produced by Indiam Tech under a project agreement
"Platform" refers to the Indiam Tech website and any associated digital channels
02 Acceptance of Terms
By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions along with our Privacy Policy. If you do not agree to these Terms, you must immediately cease use of our website and services.
Indiam Tech reserves the right to update or modify these Terms at any time. Updated Terms take effect immediately upon posting to the website. Your continued use of our services following any changes constitutes your acceptance of the revised Terms.
03 Services & Scope of Work
Indiam Tech provides the following embedded product development services:
Embedded Firmware Development (bare-metal, RTOS-based, ARM/AVR/ESP32/STM32)
PCB Design (multilayer, HDI, signal integrity analysis, Gerber output)
3D Design & Enclosures (SolidWorks, Fusion 360, 3D printing, injection molding)
IoT Solutions and Custom Embedded Systems
The exact scope of each engagement shall be defined in a separate project agreement or Statement of Work ("SOW") signed by both parties prior to commencement of work.
04 Project Agreements & Payment
All project engagements require a written agreement outlining scope, timelines, deliverables, and payment terms. Unless otherwise agreed in writing:
A deposit of 30–50% of the project value is required before work commences
Milestone payments apply for projects exceeding a defined duration
Final payment is due upon delivery of agreed deliverables
Invoices are payable within 15 business days of issuance
Late payments may attract interest charges as specified in the project agreement
Indiam Tech reserves the right to suspend services for overdue payments without liability.
05 Intellectual Property
Unless explicitly agreed otherwise in a signed project agreement:
All IP rights in deliverables transfer to the Client upon receipt of full payment
Indiam Tech retains rights to all proprietary tools, frameworks, and methodologies used in delivery
Indiam Tech may use project details in its portfolio unless the Client requests confidentiality in writing
Any pre-existing IP provided by the Client remains the Client's property
06 Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary, technical, and business information shared during the project engagement. This obligation survives termination of the project for a period of three (3) years.
Indiam Tech will not disclose Client specifications, designs, or project details to any third party without prior written consent, except as required by law.
07 Warranties & Liability
Indiam Tech warrants that all services will be performed with reasonable skill and care in accordance with industry standards. Specific product warranties are defined in individual project agreements.
Indiam Tech is not liable for indirect, consequential, or incidental damages
Total liability shall not exceed the fees paid by the Client for the specific engagement
The Client is responsible for validating deliverables before production deployment
Embedded products involve inherent risks. Final safety validation and regulatory compliance remain the responsibility of the Client.
08 Cancellation & Termination
Either party may terminate a project agreement with 14 days written notice. Upon termination:
Client is liable for payment of all work completed up to the termination date
Deposits are non-refundable unless termination is due to Indiam Tech's material breach
All deliverables completed and paid for will be transferred to the Client
Confidentiality obligations survive termination
09 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of India.
The parties agree to first attempt resolution through good-faith negotiation before resorting to formal legal proceedings.
